Elon Musk found a new reason to walk away from buying Twitter. This time it's a huge severance package the company paid to a former executive who recently accused it of serious security flaws.

In a letter sent Friday afternoon by Musk's legal counsel to Twitter's chief legal officer Vijaya Gadde, the billionaire took issue with a $ 7.75 million payment in late June to Peiter Zatko, better known as "Mudge," after he was let go from the company.

Lawyers for Musk argued the payment is a breach of the $ 44 billion merger agreement signed back in April. Twitter promised in the deal not to "provide any severance or termination payments or benefits to any Company Service Provider," the attorneys wrote in the letter, while noting that the definition of a "Company Service Provider" includes former Twitter employees.

This marks the third "notice of termination" of the merger agreement sent by Musk to Twitter. The first was sent in early July, claiming that Musk had the right to cancel the deal because Twitter's allegedly withheld requested data and information regarding the number of "bots" or spam accounts on the platform. The second was in August, pointing to Zatko's whistleblower disclosure as a new basis for Musk to call off the acquisition. Broadly speaking, Musk is accusing Twitter of "fraud" by misleading him on its business and monetization capabilities, as well as public investors and the SEC.

"Although the Musk parties believe this termination notice is not legally necessary to terminate the merger agreement because they have already validly terminated it… the Musk parties are delivering this additional termination notice in the event that [earlier notices are] determined to be invalid for any reason," the letter adds. 

Representatives for Twitter could not be immediately reached for comment. The company has repeatedly stood by its existing disclosures about bots on its service. 

Musk has leapt on Zatko's whistleblower disclosure, made public in August, as he fights in Delaware Chancery Court to walk away from his agreement to buy Twitter at no cost. Twitter sued Musk in July, saying he is legally bound to purchase the company for $ 44 billion and Musk's true reason for backing out was worry over his personal fortune being affected by a downward turn in financial markets. The company also recently claimed that Musk's personal texts show he was thinking about getting out of the deal in early May, just a few weeks after he agreed to buy it.

As for Zatko, a hacker turned security expert, he spent only a year working at Twitter. The company claims he was fired earlier this year for performance issues and that all of the concerns he raised about security were investigated when he was still with the company. Zatko's lengthy disclosure to Congress claimed Twitter suffers from unchecked and "egregious" security flaws that he was told to withhold or temper the seriousness of in presentations to the company's board. He also claimed Twitter "lied" to Musk about its measuring of "bot" accounts. Twitter called Zatko's disclosure "opportunistic" and an obvious attempt to harm the company. 

While Twitter employees told Insider they are suspicious of Zatko's motivations, some of his claims struck a chord with current Twitter workers.

Twitter's lawsuit against Musk is headed to a five-day trial in early October.

Bloomberg TV anchor Emily Chang has become one of tech’s most influential interviewers in recent years. But her forthcoming book promises to get 2018 off to an ugly start for Silicon Valley which is still reeling from a year of sexual harassment allegations.

The book is being published in early February by Portfolio and is called: “Brotopia: Breaking Up the Boys’ Club of Silicon Valley.” According to a summary of the book: “Silicon Valley’s aggressive, misogynistic, work-at-all costs culture has shut women out of the greatest wealth creation in the history of the world. It’s time to break up the boys’ club. Emily Chang shows us how to fix this toxic culture–to bring down Brotopia, once and for all.

But we don’t have to wait until February. Today, Vanity Fair published a fun little excerpt today under the headline: “OH MY GOD, THIS IS SO F—ED UP”: INSIDE SILICON VALLEY’S SECRETIVE, ORGIASTIC DARK SIDE.”

Just when you thought things couldn’t get worse than 2017.

The excerpt focuses on anonymous tales of what it subtly calls “Sex Parties of the Tech and Famous.” In essence, tech bros, singled and married, organize large, drug-fueled parties where men pick and choose sex partners from the abundance of attracted women invited. They are attended, according to Chang’s interview with dozens of participants, by “powerful first-round investors, well-known entrepreneurs, and top executives.”

That may not be so shocking given the Bay Area’s progressive sexual culture. But in this case, the parties seem to blur a line between business and pleasure, leaving female founders and entrepreneurs facing a truly horrific choice in the face of a male-dominated culture: If they don’t participate in the sex games, they risk losing access to the male elite; if they do participate they risk being labeled as promiscuous sex playthings.

“There is this undercurrent of a feeling like you’re prostituting yourself in order to get ahead because, let’s be real, if you’re dating someone powerful, it can open doors for you. And that’s what women who make the calculation to play the game want, but they don’t know all the risks associated with it,” one anonymous female entrepreneur tells Chang. “If you do participate in these sex parties, don’t ever think about starting a company or having someone invest in you. Those doors get shut. But if you don’t participate, you’re shut out. You’re damned if you do, damned if you don’t.”

“Brotopia” may well prove to be the book of the moment. Silicon Valley has long suffered a reputation for lacking female founders and venture capital partners. But in 2017, allegations of sexual harassment burst into plain view as a number of victims went public with accusations. These included the blog post by Susan Fowler, a former Uber engineer who detailed her own experience with sexual harassment at the company while indicting a broader culture that protected executives accused of harassment. That would be one of many reasons CEO Travis Kalanick was ousted a few months later. And over the course over the year, as the #MeToo movement began to ripple across the entertainment world, big Silicon Valley names were accused of sexual harassment, including David Drummond of Google, influential tech blogger Robert Scoble, Justin Caldbeck of Binary Capital, and Shervin Pishevar from Sherpa Capital and Hyperloop One.

Chang’s book appears to go pick up that baton and run with it. “Vastly outnumbered, women face toxic workplaces rife with discrimination and sexual harassment, where investors take meetings in hot tubs and colleagues network over lunch at the local strip club,” reads the book’s description on Amazon.

It goes on to say:

In this powerful exposé, Bloomberg TV journalist Emily Chang reveals how Silicon Valley got so sexist despite its utopian ideals, why bro culture endures despite decades of companies claiming the moral high ground (Don’t Be Evil! Connect the World!)–and how women are finally starting to speak out and fight back.

Drawing on her deep network of Silicon Valley insiders, Chang opens the boardroom doors of male-dominated venture capital firms like Kleiner Perkins, the subject of Ellen Pao’s high-profile gender discrimination lawsuit, and Sequoia, where a partner once famously said they “won’t lower their standards” just to hire women. Interviews with Facebook COO Sheryl Sandberg, YouTube CEO Susan Wojcicki, and former Yahoo! CEO Marissa Mayer–who got their start at Google, where just one in five engineers is a woman–reveal just how hard it is to crack the Silicon Ceiling. US President Donald Trump has repeatedly asked China to do more to rein in the nuclear weapons and missile development by its neighbor and treaty ally, but to no avail.

In fact, China may have already lost most of its direct influence on North Korea through past unsuccessful attempts to control the rogue state’s behavior.

It does still have more leverage on its neighbor than any other country because it supplies most of the oil to North Korea, which in turn fuels Kim Jong-un’s military and industrial machinery.

But China is unlikely to completely cut off crude and refined oil supplies to its troublesome ally. This is because it believes it is unlikely that North Korea would give up its nuclear weapons and delivery systems any time soon.

Russian President Vladimir Putin told the BRICS (Brazil, Russia, India, China and South Africa) leaders in China this week that the North Koreans would “rather eat grass than give up their nuclear program”. This echoes former Pakistani leader Zulfikar Ali Bhutto, whose country defied international sanctions to develop its own nuclear weapons.

The Chinese and Russians now believe it would be almost impossible to disarm North Korea of its nuclear weapons without a comprehensive settlement with the US.

There was a time when China did enjoy considerable influence over North Korea. Special trains bearing the country’s leader frequently chugged into Beijing to a warm welcome from Chinese leaders.

Kim Jong-un’s father, Kim Jong-il, was taken to China’s capitalist enclave of Shenzhen and its other bustling cities, such as Shanghai, on his seven visits to China as leader. These were intended to inspire him to take a leaf out of China’s book and launch his own market-friendly economic reforms. But he politely refused to toe the line while still accepting China’s economic and diplomatic support.

Kim Jong-un has gone a step further in rebuffing the Chinese leadership. Since becoming North Korea’s leader in 2011 he has never visited China, not even when it celebrated the 70th anniversary of the end of the second world war by hosting a grand military parade in Beijing in 2015. Not surprisingly, Chinese President Xi Jinping has also not visited Pyongyang.

Some Chinese scholars privately blame their own government for North Korea’s rapidly developing nuclear weapons program.

It is believed that, in an effort to persuade its estranged ally to desist from developing nuclear weapons, Xi had sent a senior envoy to Pyongyang with a message that China would no longer abide by the security provisions of its 1961 Treaty of Friendship, Co-operation and Mutual Assistance with North Korea.

Instead of buckling under pressure, Kim Jong-un decided to accelerate his nuclear weapons program because he could no longer rely on China’s support.

Whether or not China is indirectly responsible for Pyongyang’s repeated nuclear tests in violation of UN Security Council resolutions, it is still the only permanent council member to have the ability to make life really difficult for the Kim regime. China could do so by fully enforcing UN sanctions and cutting off oil supplies.

Nevertheless, the most we can expect from China, in addition to the measures it has already taken – for example, stopping coal imports – is a reduction in oil supplies. The Chinese leadership does not want to do anything that could bring about the collapse of the North Korean regime and, in the process, provoke its leader to lash out at China.

In any case, a partial reduction in oil supplies is unlikely to have a significant impact on North Korea’s behavior. It would probably make up the shortfall by smuggling in oil on the high seas.

No doubt China’s relations with Pyongyang have deteriorated to such an extent that China finds its behavior unacceptable and insulting. Chinese people are also tiring of the shenanigans of Kim and his cronies. This is evident in commentary on Chinese social media, which the Chinese government is trying to suppress lest it projects its leaders as ineffective.

China has always been loath to adopt or support measures that could trigger a collapse of the North Korean regime and send millions of impoverished Koreans flooding into China’s northeast.

China also does not want to see an end to North Korea’s status as the buffer between China and the American presence in the southern Korean peninsula. It fears a premature reunification of the two Koreas under US influence. A unified Korea could bring American troops to China’s doorstep.

So, while China’s leaders probably dislike Kim Jong-un as much as the Americans do and want an end to his reckless behavior, they are unlikely to heed Trump’s calls to help him bring the tyrant to his knees, even if they could.

China is happy to make Trump squirm and appear to his own people and the world as feckless. But it will be watching the American moves very carefully and do anything to avoid war on the Korean peninsula. That could have serious ramifications for the region and the world, and impede China’s own seemingly inexorable rise as a great power.

President Trump on Friday seemed to admit that he tweeted a threat about secretly recording his conversations with James Comey as a way to influence the former FBI director’s testimony before members of Congress.

Fox News reporter Ainsley Earhardt asked Trump if his tweet about possibly recording Comey without his knowledge “was a smart way to make sure [Comey] stayed honest” during his congressional testimony.

“It wasn’t very stupid, I can tell you that,” Trump said.

(Remember that Trump’s initial tweet about “tapes” on May 12, led Comey to leak his personal memos about conversations with the president, which didn’t make Trump look good. Those memos, in turn, helped sparked the appointment of a special counsel, Robert Mueller, who is in part investigating whether Trump obstructed justice in the FBI’s investigation into Russian interference in the 2016 election.)

In Friday’s Fox News interview, Trump also suggested — in confusing language — that a third party, possibly another arm of the government, could have recorded the conversations without his or Comey’s knowledge.

“But when [Comey] found out that I, you know, that there may be tapes out there, whether it’s governmental tapes or anything else, and who knows, I think his story may have changed,” Trump said.

Trump fired Comey on May 9. On May 10, Senate Intelligence Committee leaders invited Comey to testify about the circumstances of his firing — making headlines on cable news, which the President follows closely.

On May 12, Trump tweeted: “James Comey better hope that there are no ‘tapes’ of our conversations before he starts leaking to the press!”

After that, Trump and top White House aides repeatedly refused to provide a straightforward answer about whether tapes existed — until Thursday, when Trump finally admitted in two carefully-phrased tweets that he made no tapes of his meetings with Comey.

That’s when he also introduced the new idea that a third party might have made recordings.

“With all of the recently reported electronic surveillance, intercepts, unmasking and illegal leaking of information, I have no idea……whether there are ‘tapes’ or recordings of my conversations with James Comey, but I did not make, and do not have, any such recordings,” he wrote.

Trump’s top aides on Friday rushed to bolster Trump’s comments. White House press secretary Sean Spicer said on Fox News that by bringing up the idea of tapes, Comey came to think, “I better be honest.”

“The reality is that he wanted to make sure that the truth came out and by talking about something like tapes made … Comey in particular think to himself, ‘I better be honest, I better tell the truth about the circumstances regarding the situation,'” Spicer said.

And in an interview with CNN on Friday, Kellyanne Conway refused to say why it took Trump 42 days to admit that he knew he didn’t record Comey, but also left open the possibility that recordings may exist.

“He answered definitively yesterday that he has not made such tapes … but there could be,” Conway said.

During his June 8 testimony before Congress, Comey said he kept memos of his conversations with Trump out of fear the president would lie about their meetings.

“I was honestly concerned he might lie about the nature of our meetings, so I thought it important to document,” Comey said. “That combination of things I had never experienced before, but it led me to believe I gotta write it down and I gotta write it down in a detailed way.”

“Look, I’ve seen the tweet about tapes. Lordy, I hope there are tapes,” Comey added.

Trump did not provide a direct answer when asked if Mueller should recuse himself from the investigation because of his friendship with Comey, instead calling the special prosecutor’s connection to the former FBI director “bothersome.”

“I can say that the people that have been hired are all Hillary Clinton supporters,” he said. “Some of them worked for Hillary Clinton. I mean the whole thing is ridiculous, if you want to know the truth.”

The former Great British Bake Off star presented the award ceremony for the first time after taking over from regular host Graham Norton, who is still in Kiev following the Eurovision Song Contest.

Presenting from London’s Royal Festival Hall, Sue made sure to throw in a range of jokes, but one of her gags received a very awkward reaction from Gillian 48, who squirmed in her seat.

Introducing the next category the 47-year-old told the audience: “Next up we have the award for mini-series. I like my mini-series like I like my relationships; dramatic, intense and with Gillian Anderson in them.”

But The Fall actress didn’t seem too impressed as she was left open-mouthed and turned her head away from the camera.

And viewers watching at home picked up on her facial expressions and took to social media to comment on Sue’s one-liner.

One viewer wrote: “Gillian Anderson did not appreciate that joke!!!! #BAFTATV.”

“Paahahahaha, Gillian’s face says it all,” another added, whilst a third said: “#BAFTATV that caught Gillian Anderson of guard!”

Another person wrote: “‘I like my mini series how I like my relationships: dramatic, intense & with Gillian Anderson in them,’ Don’t we all Sue #BAFTATV.”

In her opening speech, Sue began her string of gags as she made her feelings about the upcoming General Election clear when she launched an attack on Theresa May

She began: “I know what you’re thinking, ‘Not another woman hosting an awards show, when will it end?’

“Whatever happens, I promise to deliver you a strong and stable BAFTAS.”

The presenter also made sure to include a dig at Channel 4 who pinched Bake Off from the BBC.

When talking about the show The Replacement, she said: “A show about how stressful it can be when someone takes over your job. I really couldn’t relate to it.”
