Not your regular regulator

FOR ALL the talk about deregulation under President Donald Trump, when it comes to the financial industry the word used by many is “tailoring”—meaning trimming the loose threads of tangled rules, rather than unpicking them. An exception is Hester Peirce, who in January became one of the five commissioners at the Securities and Exchange Commission (SEC), America’s most important financial regulator. Since her appointment she has given a series of speeches with a polite tone and blunt message about the downsides of government intervention.

Though she has yet to gain a large following, her words have not gone unremarked. Her “arrival at the SEC is genuinely exciting”, writes Steven Lofchie, a securities lawyer who runs a popular (within the small world of regulation) blog. It is probably the first time the word has been used in connection with the SEC in years.

Martin Shkreli, a former pharmaceutical CEO, was found guilty of securities fraud on Friday — but that was hardly the first time he’s been in the news.

Shkreli has been a controversial figure in the public eye ever since he hiked costs of Daraprim, an AIDS treatment drug that has no generic option, from $ 13.50 to $ 750 per pill overnight in 2015.

The move was met with widespread criticism, including from both then-presidential candidates Hillary Clinton and Donald Trump.

Here’s a look at Martin Shkreli’s life, and how he got to where he is today:

Martin Shkreli had humble beginnings. On March 17, 1983, he was born in Coney Island Hospital to Albanian and Croatian immigrant parents, who both worked as janitors in Brooklyn.

After nearly five full days of jury deliberations, Martin Shkreli has been found guilty of three counts of securities and wire fraud. Specifically, he’s been found guilty on two counts of securities fraud and one count of conspiracy to commit securities fraud.

The notorious ex-pharmaceutical CEO was originally charged with eight counts of securities and wire fraud, stemming from what federal prosecutors describes as a Ponzi-like scheme. Prosecutors argued in the five-week trial that Shkreli defrauded investors of two hedge funds he managed and siphoned millions from a pharmaceutical company he founded, Retrophin, in order to cover losses in those funds. Shkreli, most infamous for dramatically raising the price of an anti-parasitic drug by more than 5,000 percent, was arrested and charged in December of 2015. He faces up to 20 years in prison.

Shkreli’s legal team, headed by Benjamin Brafman, argued during the trial that although Shkreli didn’t “look great” on paper, he was a “brilliant mind” who lacked intent to defraud investors.

The DAO, a blockchain-based organization created last year, was supposed to demonstrate the potential of Bitcoin competitor Ethereum. Investors pumped $ 150 million of virtual currency into the project. But then in June 2016, hackers found a bug in the DAO’s code that allowed them to steal $ 50 million from the organization, creating a crisis for the Ethereum community.

A Tuesday ruling from the Securities and Exchange Commission makes clear that security flaws were not the problem with the DAO. The agency says the DAO’s creators broke the law by offering shares to the public without complying with applicable securities laws. Though luckily for the DAO’s creators, the SEC isn’t going to prosecute them.

“There’s nothing surprising here,” says Patrick Murck, a legal expert at Harvard’s Berkman Klein Center. “It’s very commonsensical.”

Roughly half of the $ 90 billion worth of commercial mortgages left over from the 2007 lending boom won’t be easy to refinance when they mature, exposing the winners and losers of the real estate recovery.

Banks sold a record $ 250 billion worth of commercial mortgage-backed securities to institutional investors in 2007. That wall of maturities has been whittled down to about $ 90 billion as some borrowers paid off their loans early to take advantage of rock-bottom interest rates.

Morningstar Credit Ratings estimates that half of the remaining loans will have difficulty refinancing, Bloomberg News reported. And S&P analysts predict that, in the best case scenario, roughly 13 percent of maturing real estate loans will default, up from 8 percent over the past two years.

“There are a lot of headwinds currently — with the interest-rate increase, with the new administration coming in, and also risk retention,” said S&P researcher Dennis Sim. “Those three wild-card factors could also play a role in how some of the better-performing loans are able to refinance or not.”

Better-performing loans, such as those on top-quality office properties, are considered less risky.

RXR Realty is close to landing a five-year loan to pay off $ 1 billion in debt that comes due in March at 5 Times Square, the headquarters for Ernst & Young that David Werner bought in 2014 for $ 1.5 billion.

“We are currently reviewing term sheets from a number of institutions and expect to settle on a lender within a week or so,” said RXR CEO Scott Rechler, whose firm acquired a 49 percent stake in the 39-story property shortly after Werner bought the building.

Retail properties and especially malls hit hard by e-commerce are expected to struggle the most. [Bloomberg]
