  • Sears‘ unsecured creditors are urging the company to shut down all of its remaining stores.
  • In a bankruptcy filing, the creditors slammed Sears’ plan to stay in business as “nothing more than wishful thinking” and “an unjustified and foolhardy gamble with other people’s money.”
  • Sears has proposed cutting its store count to roughly 400 profitable stores, then selling the associated real estate to raise cash while the company works to return to profitability.

Sears’ creditors are demanding that the company shut down all its remaining stores.

The retailer’s plan to survive bankruptcy is “nothing more than wishful thinking” and “an unjustified and foolhardy gamble with other people’s money,” a group of unsecured creditors has declared in a new filing.

Sears hopes to sell its home improvement business to Service.com https://briefnews.eu/sears-hopes-to-sell-its-home-improvement-business-to-service-com/ https://briefnews.eu/sears-hopes-to-sell-its-home-improvement-business-to-service-com/#respond Mon, 05 Nov 2018 08:14:37 +0000 http://briefnews.eu/sears-hopes-to-sell-its-home-improvement-business-to-service-com/

Bankrupt retailer Sears announced that it’s seeking permission to sell its home improvement division to a key rival partly responsible for its downfall. Pending trustee approval, it will sell the business to Service.com, an Airbnb-like service that helps home owners find contractors, for $ 60 million. Sears Home Services is considered to be one of the retailer’s more valuable assets, so the asking price shows how far the company — which employed 302,000 people just a decade ago — has fallen.

Earlier this year Sears still had big plans for the division, which offers cleaning and handyman services. Unlike its retail division, Home Services doesn’t have to compete with Amazon and other retailers. Sears believed it could make a go of it by leveraging its name and helping customers set up smart home devices. In other words, it would send technicians out to help tech-illiterate folks set up an August lock, security cameras and smart lights.

“In the smart home space there is not one provider that has everything,” the Sears Home Services CEO Mitch Bowling told CNBC in February. “It’s usually a collection of items from different providers and we want to be a trusted advisor of all that space.”

Alas, it seems like those grand plans will be lost, as Sears badly needs to raise capital just to survive. The company is seeking court approval for a “stalking horse” sale, in which a bankrupt debtor essentially tests the market for assets prior to an auction. If it has no other takers, Service.com will likely acquire the division by the end of the year.

  • Two Sears board directors have hired an investment bank to look into deals made by the company’s former CEO Eddie Lampert before the company filed for bankruptcy.
  • The directors are questioning the ways the company separated its real-estate and Sear’s businesses under Lampert’s watch.
  • The directors say that doing so caused Sears to lose several valuable assets. They are consulting with the investment bank on whether Lampert’s actions constituted legal actions against him.
  • Lampert is currently owed $ 2.6 billion by Sears due to his hedge fund, ESL Investments, infusing the company with billions of dollars when its profits were being affected by retail giants Walmart and Amazon.
  • Lampert is now looking to buy Sears in a bankruptcy auction under the terms that it will be in a stabler financial condition.

(Reuters) – Two Sears board directors have hired investment bank Evercore to scrutinize deals that were led by former Sears Chief Executive Eddie Lampert with the US retailer before it filed for bankruptcy protection, people familiar with the matter said on Friday.

The deals, including separations of Sears’ businesses and real estate, may come under examination in bankruptcy proceedings, with creditors claiming the transactions stripped the retailer of valuable assets. Billionaire Lampert is the largest shareholder and creditor of Sears through his hedge fund, ESL Investments Inc.

Sears, the Amazon of its day, files for bankruptcy https://briefnews.eu/sears-the-amazon-of-its-day-files-for-bankruptcy/ https://briefnews.eu/sears-the-amazon-of-its-day-files-for-bankruptcy/#respond Mon, 15 Oct 2018 09:29:27 +0000 http://briefnews.eu/sears-the-amazon-of-its-day-files-for-bankruptcy/

Sears, which invented the strategy of selling everything anyone with a mailing address long before Amazon, has been mortally wounded by its spiritual successor. After nearly a decade of struggle, the US retailer announced that it has filed for bankruptcy. It entered voluntary Chapter 11 proceedings and plans to close as many as 150 stores in an effort to slash debt and make it through the holidays. Since 2013, Sears has shuttered over 1,000 stores and lost around $ 5.8 billion.

Sears is perhaps best known for distributing catalogs and selling products across America using the US Postal Service. Founded in 1892, it was a US retail juggernaut until the 1990s, when it started facing stiff competition from Walmart, Target and other more agile competitors. In 2004, the company was acquired by hedge fund manager Edward Lampert and merged with K-Mart.

Under Lampert, the company saw a $ 1.5 billion profit in 2015, but it’s been downhill ever since. While losing the retail battle with Walmart, Home Depot and others, it was flanked on another side by Amazon’s rapidly growing e-commerce business. The great recession of 2008 set off a sharp decline that never really stopped, described by one bankruptcy expert as “the slowest-moving train wreck.”

While we have made progress, the plan has yet to deliver the results we have desired, and addressing the company’s immediate liquidity needs has impacted our efforts to become a profitable and more competitive retailer.

In 2008, the company employed 302,000 people, but that figure has fallen to just 68,000, according to the New York Times. It’s last profitable year was 2010, and Lampert has since stripped off and sold much of its land holdings and iconic brands like Craftsman. He recently proposed selling off another $ 3.25 billion in real estate and assets, including Sears Home Services and the flagship Kenmore brand.

“The Chapter 11 process will give [Sears] the flexibility to strengthen its balance sheet … continue right-sizing its operating model, and return to profitability,” Lampert said in a statement. However, turning Sears around, even in a much smaller form, will be a huge challenge. Toys “R” Us, another retail institution that recently failed, tried to reorganize but eventually shut down and laid off all its employees.

Sears downfall could bring a lot of pain. Over 100,000 employees still receive pensions, though regulators might force the company to protect those. Still, there are bound to be more layoffs, and stores that close will leave shopping malls across America without major tenants. It’s also one of the most prominent symbols yet of the death of old-school retail in the US.

A beefy burger without the beef? That is the seemingly impossible promise of the Impossible Burger, a trendy plant-based burger that claims to “bleed,” sear, and taste like the best of the best all-American whoppers—without the environmental impacts of beef production and ethical concerns of meat-eating.

On a cold and dreary Friday, a band of Ars reporters set out to nosh these mythical sandwich beasts for ourselves to see if the impossible had indeed been accomplished.

Before this, all indications were that it had. Since its introduction in 2016, the Impossible Burger has graced the menus of high-end restaurants such as Momofuku Nishi in New York and Jardinière in San Francisco. Investors have forked over more than $ 250 million to the faux meat’s maker, Impossible Foods. Impossible Burgers are now served in dozens of restaurants across the country. And the company has “ambitious plans to open new production facilities and partner with a ton more restaurants across the United States,” according to its website.

  • Sears’ sales are down 45% since early 2013, its debt load has spiked to over $ 4 billion, and the company is losing well over $ 1 billion annually.
  • To meet its obligations, Sears has been selling off valuable brands and properties.
  • Now its pool of assets is dwindling, increasing the risk of a bankruptcy, analysts say.
  • Kmart, in particular, is at risk of shutting down, as it loses market share fast.

Wall Street analysts have made the same prediction every year for nearly the last decade: Sears is imminently going bankrupt. But the retailer has managed to stay afloat with loans from its CEO, the sale of valuable real estate, and the slow dismantling of its exclusivity over some big American brands.

This year is no different. Sears’ pool of assets is shrinking and its core business is showing no signs of improvement, making the possibility of a bankruptcy or restructuring seem more likely than a turnaround at this point, according to Christina Boni, vice president at Moody’s Investors Service.

“Continuing to fund shortfalls is becoming more challenging, particularly as Sears continues to bleed its asset pool,” Boni told Business Insider. “This increases and elevates the risk of a bankruptcy.”

The company’s latest effort to prove critics wrong comes from recent deals to sell its DieHard and Kenmore brands on Amazon.

Kmart is a different story. Analysts say the discount chain, also owned by Sears Holdings, is in danger of shutting down entirely. Kmart faces intense competition from successful discount retailers, not to mention Walmart and Amazon. As the business dwindles, Sears has been shutting down Kmart stores far more rapidly than its namesake stores, and laying off full-time workers at the stores that remain open.

Sears said it remains focused on improving its performance and enhancing its liquidity, and that it expects to reach positive adjusted earnings before interest, taxes, depreciation and amortization next year.

“Our Chairman and CEO Eddie Lampert stated at the May 10, 2017 Annual Shareholders’ Meeting that ‘We are fighting like hell’ and doing everything in our power for Sears and Kmart to succeed. That remains true,” Sears spokesman Howard Riefs said. “This year we executed a strategic restructuring program that achieved our annualized cost savings target of $ 1.25 billion through the simplification of our organizational structure, streamlining of operations and closure of under-performing stores.

“Moving forward, we will continue to sharpen our focus on our best Sears and Kmart stores, best categories, and best members, as we will build on the momentum of our actions to date and be better equipped to support our continued transformation.”

Sears is losing money as sales tumble

Sears is hemorrhaging money. Sales are down 45% since early 2013, its debt load has spiked to over $ 4 billion, and the company is losing well over $ 1 billion annually.

To meet its obligations, Sears has been selling off brands and properties and its CEO, who owns almost half the retailer’s shares, has been lending the company money to pay off its debt. The company has also delayed an upcoming loan repayment to give it more time to turn business around.

In search of new sources of revenue, Sears announced a deal this week to start selling its DieHard-branded products — such as car batteries, jump starters, and tires — on Amazon’s website. The retailer also started selling its Kenmore-branded appliances on Amazon this year.

The Amazon deals followed the outright sale of Craftsman, another Sears brand, to Stanley Black & Decker for about $ 900 million to be paid out over three years.

KmartBusiness InsiderThe deals should give the company access to new customers and revenue. But the strategy is also a major blow to Sears’ stores, which had previously sold those brands almost exclusively along with Sears.com.

Sears’ stores are already under pressure from plunging sales. Same-store sales at the company’s Sears and Kmart stores fell 17% and 13%, respectively, in the most recent quarter.

The company has closed nearly 400 Sears and Kmart stores since the beginning of the year, and it’s planning to close another 63 stores in January.

The January closures will leave Sears with 1,041 stores, down from 3,510 just six years ago.

Investors have applauded Sears’ efforts to rapidly close unprofitable stores. But sales have shown no signs of rebounding.

“Despite its significant efforts to reduce its stores, it has not materially improved its weak operating performance to date,” Boni wrote in a recent research note.

Kmart’s business in particular is at risk, given its “meaningful market share erosion and estimated reduction of stores in excess of 30% this year,” Boni said.

Two years ago, Kmart had 941 stores. After the upcoming round of closures, it will have just over 500.

BI Graphics_Sears Chart 3Business Insider/Samantha Lee

Boni said Kmart is succumbing to the rapid growth of discount stores like Dollar General, which opened 1,000 stores this year, and the growing competitiveness of other major players like Walmart, which has been investing billions of dollars in price reductions, grocery improvements, and higher wages for employees.

Kmart’s relative weakness in food sales is particularly concerning because a strong grocery offering drives shoppers to visit more often and increases the chances that they will purchase items in other categories, she said.

“Kmart is going more head-to-head with the Walmarts and Targets of the world, which means it has to do well in food business,” she said.

Lampert addressed concerns about Kmart’s business last year, saying, “there are no plans and there have never been any plans to close the Kmart format.”

“In fact, we’ve been working hard to make Kmart a more fun, engaging place to shop, powered by our integrated retail innovations and Shop Your Way,” he wrote in a blog post. “To report or suggest otherwise is irresponsible and is likely intended to do harm to our company to the benefit of those who seek to gain advantage from posting these inaccurate reports.”

Sears suppliers cancel contracts and Lampert blames the media

eddie lampertReutersSome Sears suppliers have exacerbated the retailer’s problems this year by threatening to cancel contracts and demanding new payment terms for orders.

Amid these problems, merchandise inventory at Sears has fallen to $ 3.4 billion as of October 28 from $ 5 billion the previous year. Sears has attributed the decline to its transformation to an online-oriented business model.

Lampert responded to the supplier troubles earlier this year by blaming the news media in a rare interview and publicly threatening to sue two of its top tool vendors.

The conflict with one of the vendors, One World Technologies, was later resolved out of court.

Along with suppliers, several top executives at Sears have also fled the company within the last year.

Among the departures since last December were John Moore, formerly Sears’ head of retail services, Alasdair James, Kmart president and chief member officer, Jeffrey Balagna, formerly Sears’ executive vice president, Joelle Maher, formerly Sears’ president and chief member officer, and Jason Hollar, Sears’ former chief financial officer.

The company also lost its second-largest shareholder and board member, Bruce Berkowitz, in October. Berkowitz, the chief investment office and founder of hedge fund Fairholme Capital Management, has long been one of Sears’ and Lamperts’ biggest cheerleaders. The company’s stock tumbled more than 15% immediately following his departure.

A spokesperson for Fairholme told Bloomberg at the time that Berkowitz left the board because he had achieved his objective there.

“Mr. Berkowitz believed that his board service would enable him to better communicate Fairholme’s perspective in substantially greater depth and detail than would otherwise have been the case,” the representative said. “Mr. Berkowitz believes that he has achieved that objective.”

Sears is expected to continue closing stores in 2018

Going forward, Sears is expected to continue to look for ways to cut costs and monetize its assets by closing additional stores — particularly Kmart locations — and focusing more on its online business, called Shop Your Way.

“Our Shop Your Way membership program and Integrated Retail Strategy remain a key focus for us in order to meet the needs of our members,” Lampert said in a recent statement.

But analysts seem skeptical that Sears, once the nation’s largest retailer, can make a comeback.

Neil Saunders, the CEO of GlobalData Retail, an industry research firm, said Sears will either undergo a dramatic restructuring or fall into bankruptcy next year.

“At the end of the day, the business is not sustainable,” Saunders said. “Sales continue to tumble, losses continue to mount, and there is no sign that the finances are improving. Put simply, the business as it stands is not viable.”

  • Sears’ loss narrowed to $ 558 million in the third quarter.
  • Same-store sales fell 17% at Sears and 13% at Kmart.

(Reuters) – Sears Holdings Corp continued its streak of declining sales in the third quarter, reporting a double-digit drop in comparable sales at its Sears and Kmart chains.

Sales at Sears stores open for more than a year fell 17 percent in the quarter ended Oct. 28, while comparable sales at Kmart fell 13 percent, hurt by closures of pharmacies within some Kmart stores and fewer electronic products available at the chains.

Once the largest U.S. retailer, Sears has struggled as shoppers shift from the mall to the web and has closed scores of its weaker Kmart and namesake department stores, striking brand licensing deals and promoting its shopper loyalty program in efforts to turn itself around.

The retailer, which has reported years of losses and declining sales, said on Thursday it would look to diversify its revenue streams through partnerships in its businesses, including Sears Home Services, Innovel, Kenmore and DieHard.

Sears, controlled by billionaire investor Eddie Lampert, said it generated over $ 270 million through sale of real estate and other assets in the third quarter, and an additional $ 167 million after the close of the quarter.

The company said it used the proceeds to pay down debt.

Net loss attributable to shareholders was $ 558 million, in line with the forecast of $ 525 million to $ 595 million Sears gave earlier this month, citing store closures.

Sears needs more than Black Friday to be saved https://briefnews.eu/sears-needs-more-than-black-friday-to-be-saved/ https://briefnews.eu/sears-needs-more-than-black-friday-to-be-saved/#respond Sat, 18 Nov 2017 12:48:35 +0000 http://briefnews.eu/sears-needs-more-than-black-friday-to-be-saved/ SearsJoe Raedle/Getty Images

  • Sears reported an adjusted loss of $ 226 million in the fourth quarter of 2016, and isn’t likely to be any better.
  • More consumers are likely to do their holiday shopping online this year, furthering the retailers woes.

Times are getting desperate for Sears Holdings Corporation.

Shares of the ailing retailer slipped to an all-time low this week, falling below $ 4 as concerns about a potential bankruptcy mount. In recent weeks, the company saw Bruce Berkowitz, one of its biggest investors, step down from its board; drew down a $ 200 million loan faster than expected; lost one of its biggest suppliers, Whirlpool Corporation, over a pricing dispute; and reported a 15.3% decline in comparable sales in the third quarter, ahead of its full earnings report later this month.

Fortunately for Sears, which also owns Kmart, the retail industry’s busiest season of the year is right around the corner. Black Friday, so-called because it’s retailers’ best opportunity to get out of the red ink and into the black, is just next week, followed by Cyber Monday and then four weeks of packed shopping malls as Americans hustle to get all of their Christmas presents in time.

Retailers often make a majority of their profits in the holiday quarter, so it’s clear why Sears may be looking forward to the shopping season. Even so, it won’t save the company. Here’s why:

Past is prologue

Black Friday hasn’t been enough to save Sears in recent years, so why would it be any different this year? In 2016’s fourth quarter, the company reported an adjusted loss of $ 226 million, following an adjusted loss of $ 400 million in the fourth quarter of 2015.

In the holiday quarter in 2014, the company reported a net loss of $ 159 million after a $ 338 million deficit in the same period in 2013.

It also reported a massive loss in the fourth quarter of 2012. Amazingly, you’d have to go all the way back to 2011 to find a holiday quarter in which Sears posted an adjusted profit. The company, meanwhile, hasn’t reported an annual operating profit since 2010. Whatever’s wrong with Sears, clearly the power of Black Friday isn’t enough to fix it.

Suppliers are fleeing

Whirlpool’s divorce from Sears was well-publicized, as the two companies had been partners for a century. Whirlpool is the world’s largest home appliance maker, while Sears had been the nation’s biggest appliance seller until recently, which is why the two made for natural partners.

However, Whirlpool isn’t the only company trying to separate itself from the flagging retailer. In its recent earnings update, Sears blamed a slide in revenue in part on a reduction in “consumer electronic assortments” in both Sears and Kmart stores, a sign that electronics suppliers are getting nervous. Importantly, electronics are a key category for holiday sales, as products like TVs, video game systems, and tablets make popular gifts.

Earlier in the year, Sears came into conflict with tool suppliers One World Technologies and Ideal Industries to the point of filing lawsuits against each over contract disputes, and the company also offloaded its Craftsman tool brand, which is now being sold at rival Lowe’s.

Other suppliers, meanwhile, have demanded Sears pay cash upfront on purchases, further tightening the company’s liquidity. With suppliers fleeing, Sears may not even have enough merchandise to sell, and empty shelves will drive even more customers away.

The whole department sector is ill

In some ways, Sears isn’t to blame for all of its problems. The rise of e-commerce has decimated mall traffic, and in the digital era department stores seem to be becoming obsolete. The cavernous emporiums that offer everything from clothes to cosmetics to jewelry to home goods were once a one-stop shop for Americans during the holidays, but with few brands of their own to offer, the format now seems to be at a disadvantage against other brick-and-mortar retailers. Sears’ rivals are also struggling.

Gordman Stores declared bankruptcy earlier this year, and Bon-Ton Stores appears to be on its way to doing the same. Department store stocks have gotten crushed this year — even Macy’s is closing dozens of stores and consolidating flagships, and J.C. Penney shuttered 138 locations. Hudson Bay’s Lord & Taylor sold its flagship store on New York’s Fifth Avenue, and will now lease just a quarter of it. Even Nordstrom, arguably the healthiest department store chain, saw comparable store sales fall 5% in its most recent quarter.

In other words, even if Sears were to somehow have a blowout Black Friday and post a profitable quarter, the company is still facing enormous secular headwinds from shopping habits in the broader department store sector. The writing is on the wall for struggling department stores like Sears as the format dies a slow death.

Unfortunately for the once-great retailer, there won’t be much of a reason to celebrate this holiday season.
