Geely wants to be a tech-sharing 'friend' of Daimler in $9B bet https://briefnews.eu/geely-wants-to-be-a-tech-sharing-friend-of-daimler-in-9b-bet/ https://briefnews.eu/geely-wants-to-be-a-tech-sharing-friend-of-daimler-in-9b-bet/#respond Sat, 24 Feb 2018 21:58:35 +0000 http://briefnews.eu/geely-wants-to-be-a-tech-sharing-friend-of-daimler-in-9b-bet/

Chinese carmaker Geely has built up an almost 10-percent stake in Daimler in a $ 9 billion bet by its chairman that he can access the Mercedes-Benz owner’s technology in the growing battle for the future of automotives. The purchase by Li Shufu, Geely’s founder and main owner, means China’s largest privately-owned automaker is now the biggest shareholder in Germany’s Daimler.

Geely said on Saturday there were no plans “for the time being” to raise the stake further. Instead, it will seek to forge an alliance with Daimler, which is developing electric and self-driving vehicles, to respond to the challenge from new competitors such as Tesla, Google and Uber.

“No current car industry player is likely to win this battle against the invaders from outside without friends. To achieve and assert technological leadership, one has to adapt a new way of thinking in terms of sharing and combining strength. My investment in Daimler reflects this vision,” Li said.

“Daimler is pleased to announce that with Li Shufu it could win another long-term orientated shareholder, which is convinced by Daimler’s innovation strength, strategy and future potential,” the German company said in a statement.

Geely officials plan to travel to Stuttgart to meet Daimler executives early next week and also hope to meet top German government officials in Berlin, two sources familiar with the matter told Reuters. The Chinese firm plans to use the meetings to underline that it intends to be a supportive long-term investor, they said. Daimler had no immediate comment on any meetings. Geely and the German economy ministry declined to comment.

Chinese investors in German technology companies have tended to take a consensual approach, buying incremental stakes in companies such as robotics firms Kuka and Kion, typically after long consultation with management and other stakeholders.

In November, Geely asked Daimler to issue new shares so it could buy a stake, as a way to access Mercedes-Benz technology for electric cars and trucks, including battery technology, to help Geely comply with a Chinese crackdown on pollution. But the German company turned down the offer saying it did not want to dilute existing shareholders, sources at the time told Reuters. Li changed tactics, and quietly amassed a stake of 9.69 percent worth $ 9 billion at Daimler’s current share price.

The sources said former Morgan Stanley Germany CEO Dirk Notheis was the architect of amassing the Daimler stake, working with former Morgan Stanley China executive Yi Bao. Notheis declined to comment, while Bao was not reachable.

German state secretary at the economy ministry, Matthias Machnig, said separately that EU trade ministers meeting next week in Sofia would discuss how better to protect strategically important European companies from unwanted investors.

“It is important that Europe keeps a close eye on which key European technologies foreign strategic investors are setting their sights on,” he said. Machnig did not comment specifically on Daimler.

EXPANSION DRIVE

Only two or three auto manufacturers will likely survive, a source familiar with Li’s thinking told Reuters, prompting Geely to seek access to carmakers with a technological edge.

Daimler is also the only one of Germany’s three carmakers not to be controlled by a family. Volkswagen is majority-owned by the Porsche-Piech clan, while BMW is 47 percent owned by Susanne Klatten, Germany’s richest woman, and her brother Stefan Quandt.

Geely’s move poses a challenge to the German carmaker, since Mercedes-Benz already has an industrial alliance to develop cars and trucks with Renault-Nissan, which owns a 3.1 percent stake in Daimler, and has announced plans to build electric cars with existing Chinese joint-venture partner BAIC Motor Corporation.

Bernstein Research analyst Max Warburton said: “It’s not clear what Geely wants and how it’s going to work, but we view this move as part of a broader Chinese move to gain involvement in the European automotive industry.”

“China wants a payback after spending a decade gifting the European auto industry super-normal growth and profits. Now it wants more direct access to technology, brands and profits,” he wrote in a note shortly after the stake was disclosed.

Zhejiang Geely Holding owns Volvo Cars, LEVC, the maker of London’s black cabs, and last year took a majority stake in sports car maker Lotus, a 49.9 percent stake in Malaysian automaker Proton, a $ 3.3 billion stake in Volvo Trucks and control of flying car start-up Terrafugia.

“NOT SEEKING CONTROL”

Geely sees potential in Daimler because it is developing high-speed connectivity for autonomous cars at a time when Li believes satellite-based internet connections could become more important, the source familiar with his thinking said. The source said Daimler and Geely had not held concrete talks about how to structure a potential joint venture, adding: “You know we have to become a stakeholder in order to engage.”

Swedish truck maker AB Volvo, one of Geely’s other investments, has objected to the Chinese firm’s stake-building in Daimler, citing anti-trust concerns, the source added.

“We will protect interests of both companies by abiding laws in the country and the company’s governance structure. We are not seeking to have a controlling power in Daimler,” the source added. STOCKHOLM – China’s Geely Holding, owner of the Volvo car brand, is buying an 8.2 percent stake in Swedish truckmaker AB Volvo from activist investor Cevian Capital, worth around $ 3.3 billion at current market prices.

Geely’s expertise in the Chinese market and skills in developing electric and autonomous vehicles should help the truckmaker to expand, although there were no plans to reunite with Volvo Cars, which was split from AB Volvo in 1999.

AB Volvo owns 45 percent of Dongfeng Commercial Vehicles, one of China’s largest truckmakers, and also has a significant construction equipment business in China.

“Given our experience with Volvo Car Group, we recognize and value the proud Scandinavian history and culture, leading market positions, breakthrough technologies and environmental capabilities of AB Volvo,” Geely Holding Chairman Li Shufu said in a statement on Wednesday.

There are “no plans to merge” the two Volvos, a Geely spokesman confirmed when contacted by Reuters. Both companies are based in Gothenburg, Sweden’s second largest city.

The value of the investment amounted to around 27.2 billion Swedish crowns ($ 3.26 billion), a Reuters calculation showed.

Swedish daily Dagens Nyheter said Geely paid 3.25 billion euro ($ 3.86 billion) for the stake, citing a source with knowledge of the deal. Geely and Cevian declined to disclose the exact value of the transaction.

The deal makes Geely the biggest individual shareholder in AB Volvo and second ranked in terms of voting rights behind Swedish investment firm Industrivarden.

“We will treat the new owners in the same way that we treat our other shareholders,” a spokesman for AB Volvo said.

CEVIAN CASHES IN

The transaction was initiated at Geely’s request, Cevian co-founder Christer Gardell told Reuters.

“This has been a very profitable investment for us, we have made almost 20 billion Swedish crowns on this one,” Gardell added, referring to an involvement that began in 2006.

Cevian will use the proceeds for new investments, and it is currently buying into another company, Gardell added.

While Volvo’s shares initially rose on the deal, both the A and B shares traded more than 2.5 percent lower for the day at 1230 GMT, while Industrivarden’s shares slipped 0.4 percent.

However, Volvo shares have gained almost 50 percent this year as it and rivals in the truck industry such as Germany’s Daimler and Volkswagen hit a sweet spot thanks to robust demand in major markets.

Volvo has also begun to reap the benefits from years of restructuring measures, including major cost-cutting programs, selling off non-core businesses, and management changes.

Cevian had called for a break-up of the company, suggesting the smaller Volvo Construction Equipment and engine and technology firm Volvo Penta should be separated from the main truck making business.

GEELY’S AMBITIONS

Zhejiang Geely Holding Group, as the company is formally known, is the parent company of Geely Automobile Holdings Ltd. It also owns the company that makes London’s black cabs and has invested in sports carmaker Lotus.

Sales and profitability at Volvo Cars has jumped under Geely. The car business made an operating profit of 10.4 billion Swedish crowns in the first nine months this year, up from 1.6 billion for the whole of 2011, the year after Geely bought Volvo from Ford.

In a sign of its ambitions, the Chinese company last month offered to take a stake of up to 5 percent in Daimler via a discounted share placement but was rebuffed, according to sources with knowledge of the talks.

In the latest deal, Geely will acquire 88.5 million A shares and 78.8 million B shares to give it 15.6 percent of Volvo voting rights. Industrivarden owns mostly A shares and controls 22.8 percent of the votes.

Nomura International Plc and Barclays Capital Securities Limited have agreed to acquire Cevian Capital’s shares, and will sell them to Zhejiang Geely Holding Group when the necessary regulatory approvals have been obtained, the companies said.

Daimler rebuffs Geely offer to buy stake https://briefnews.eu/daimler-rebuffs-geely-offer-to-buy-stake/ https://briefnews.eu/daimler-rebuffs-geely-offer-to-buy-stake/#respond Wed, 29 Nov 2017 22:03:32 +0000 http://briefnews.eu/daimler-rebuffs-geely-offer-to-buy-stake/

HONG KONG/BEIJING – Daimler AG has turned down an offer from China‘s Geely to take a stake of up to 5 percent via a discounted share placement, as the German automaker has long been reluctant to see existing shareholdings diluted, sources with knowledge of the talks said.

A stake of that size would be worth $ 4.5 billion at current market prices. Although Daimler declined the offer, it told Geely it was welcome to buy shares in the open market, the sources added.

Carmakers in China have embarked on a flurry of dealmaking, as they scramble to boost production of electric and plug-in hybrid vehicles ahead of tough new quotas to be imposed by Beijing, which wants to reduce urban smog and lower the country’s reliance on oil.

People with knowledge of Geely’s thinking said the company was keen to access Daimler’s electric car battery technology and wanted to establish an electric car joint venture in Wuhan, the capital of Hubei province. Geely, which also owns Swedish car maker Volvo, is still hopeful it can secure a deal in some form over the coming weeks, they added.

The two automakers met in Beijing in recent weeks at Geely’s behest. There, the Chinese firm, formally known as Zhejiang Geely Holding Group, offered to take a stake of between 3 percent and 5 percent if Daimler would issue new shares at a discount, the sources said.

It was not immediately clear what kind of discount for the shares Geely had in mind or whether Geely was interested in buying the shares on the open market.

A spokesman for Geely declined to comment. A spokesman for Daimler said the company was “very happy with our shareholder structure at present”, but added that it would welcome new investors with a long-term interest in the company.

Shares in Daimler were up 1 percent in early Wednesday trade, in line with the broader market.

DAIMLER ALREADY TIED TO BAIC, BYD

Geely, which has a market value of some $ 32 billion, is the leading domestic brand in China with a 5 percent market share, according to an analysis by Nomura Securities.

A stake of 5 percent would establish it as Daimler’s third-largest shareholder behind the Kuwait Investment Authority and BlackRock, who hold 6.8 percent and 6 percent respectively, according to Reuters data.

Daimler, however, has a long-established joint venture with Chinese carmaker BAIC Motor Corp, which its spokesman described as “our most important partner in China.” This month it announced plans to invest at least 5 billion yuan ($ 757 million) in electric battery and vehicle production with BAIC in China. It also has another tie-up with BYD, a Chinese automaker backed by Warren Buffett.

The maker of Mercedes-Benz cars has previously held similar discussions about an investment from BAIC. But Daimler has consistently refused to issue new shares out of concern for existing shareholders.

Other recent potential deals involving global and Chinese automakers include Ford Motor Co’s announcement in August that it is looking at setting up an electric car venture with Chinese firm Zotye Automobile Co Ltd.

Any deal involving an equity stake in Daimler would be Geely’s largest since it bought Volvo for $ 1.8 billion in 2010. This week, Geely and Volvo launched the first car in China under their new brand, Lynk & Co, which the Chinese group intends to eventually take global.

Volvo to share engine technology and more with parent Geely https://briefnews.eu/volvo-to-share-engine-technology-and-more-with-parent-geely/ https://briefnews.eu/volvo-to-share-engine-technology-and-more-with-parent-geely/#respond Fri, 04 Aug 2017 12:59:59 +0000 http://briefnews.eu/volvo-to-share-engine-technology-and-more-with-parent-geely/

BEIJING — Sweden’s Volvo Cars, a unit of Zhejiang Geely Holding Group, has agreed to make some engines available for Geely-branded vehicles, sources said, deepening ties between the carmakers who already share technology through third brand Lynk & Co.

Three people close to Geely and Volvo said the first Volvo-powered Geely model was expected to hit the market as early as late next year as a 2019 model year car.

The car will be equipped with a new 1.5-liter turbocharged gasoline engine Volvo has been developing for smaller cars, the knowledgeable individuals said.

Volvo is expected to share a 2.0-liter turbocharged engine at a later date and will also allow Geely-branded cars to use a common vehicle platform the two automakers developed jointly for Volvo and Lynk & Co.

“The terms of the recently announced joint venture between Volvo Cars and Geely Group mean that existing and future technologies can be shared by Volvo, Geely Auto and Lynk & Co, under license agreements,” a Volvo spokesman said.

As part of this deepened technology-sharing arrangement, Geely on Friday said it has completed the formation of a joint venture with Volvo, called GV Automobile Technology Co, to “cooperate on automotive technologies, purchasing and the future development of” Lynk & Co, Geely said in a press release.

The new joint venture creates a platform where all three brands — Geely, Volvo and Lynk & Co — can formally share the technologies and knowhow they jointly develop and collaborate in purchasing, a Geely spokesman said.

Analysts questioned Geely’s ability to absorb the best of Volvo when it acquired the automaker from Ford almost seven years ago. Yet Geely has been working progressively to improve its technology with Volvo knowhow.

Better-designed cars following its 2010 purchase of Volvo, such as its GC9 sedan and Boyue sport utility vehicle, have helped lift Geely’s fortunes. Its China sales grew 50 percent last year to 766,000 vehicles and it expects sales to climb well above the 1 million mark this year.

Ultimately, it aspires to sell more outside China.

Earlier this year, Geely bought 49.9 percent of struggling Malaysian carmaker Proton from conglomerate DRB-HICOM Bhd. Geely officials have told Reuters the Hangzhou automaker is planning to improve Proton cars by sharing Geely and Volvo technologies.

Analysts have said one big risk for Volvo, as it combines more with its parent, is the dilution of Volvo’s brand image by sharing its technology and knowledge with a Chinese auto upstart.

Volvo Chief Executive Hakan Samuelsson said the key was to differentiate the brand sufficiently, even if the two groups share more technology. For Volvo, that is about more and better safety equipment, among other aspects.

“The progress Geely has been able to make in improving products and brand image over the past several years makes me feel more confident they can execute this process successfully,” Yale Zhang, head of Shanghai-based consultancy Automotive Foresight, said.

Last month Geely and Volvo said they plan to go beyond Lynk & Co and create a joint venture to share technology, such as vehicle architecture and engines via cross licensing arrangements managed by that joint venture.

Samuelsson told Reuters last month the deal would provide Volvo with greater development resources and efficiency in purchasing parts. It also should help Volvo speed up introduction of new technology in areas such as components for electric vehicles, he said.

Lotus is one of the most storied names in the automotive world. Since 1952, the company has been applying founder Colin Chapman’s maxim “simplify, then add lightness” to the car; along the way it has built spectacularly successful racing cars and sublime road cars. Yet despite those four-wheeled creations, times haven’t been easy for the company. Following Chapman’s untimely death in 1982, it has changed ownership several times—most recently in 1996 to Malaysia’s Proton—each with the promise of renewed investment, which often failed to materialize. That’s why the announcement on Wednesday that the Lotus is being bought by China’s Geely should be greeted as such good news.

Geely is buying 49.9 percent of Proton from DRB-Hicom. And as part of the deal, Geely also gets 51 percent of Lotus. As stated, this isn’t the first time Lotus has had a new corporate owner; at one time it was owned by General Motors, at another the same businessman who revived Bugatti Cars in the 1990s. So we can forgive any skepticism about this latest transfer of control. But one only need look at Volvo’s renaissance under Geely to see plenty of cause for optimism. Geely has been pumping hundreds of millions of dollars into the Swedish car company since buying it from Ford in 2010, money that Volvo has used to develop a new cutting-edge vehicle architecture resulting in some rather fine vehicles. The prospect of that kind of investment in Lotus is mouth-watering.

China’s Geely to Acquire Majority Stake in Lotus https://briefnews.eu/chinas-geely-to-acquire-majority-stake-in-lotus/ https://briefnews.eu/chinas-geely-to-acquire-majority-stake-in-lotus/#respond Thu, 25 May 2017 13:02:39 +0000 http://briefnews.eu/chinas-geely-to-acquire-majority-stake-in-lotus/ 2017 Lotus Evora 400

–

China’s Geely will buy a majority stake in Lotus as the British sports-car maker’s Malaysian owner attempts to recoup years of losses and expand its fledgling Proton brand to China.

–

Geely’s parent company, Zheijang Geely Holding Group, has owned Volvo since 2010. When the deal closes in July, the company will also own 49.9 percent of Proton, which presently owns Lotus and is controlled by the Malaysian conglomerate DRB-Hicom. The Lotus deal, worth the equivalent of $ 129 million, will see Geely take 51 percent and Etika Automotive, a body and engine manufacturer owned by Malaysian billionaire Syed Mokhtar Al-Bukhary, take the remainder.

–

In a financial disclosure dated May 24, 2017, DRB-Hicom said it is selling Lotus “in light of its historical losses and future capital needs,” and at a higher price than expected. For the fiscal years ending in March, Lotus recorded a $ 69 million loss in 2016 and $ 15 million through 2017. Lotus hasn’t turned a profit in almost two decades; Proton purchased the sports-car manufacturer from a Luxembourg holding company in 1996. While Proton has put Lotus up for sale at least twice, the Malaysian government forced its hand this time. The Malaysian automaker, created by the government in 1983 and kept afloat last year by a $ 350 million state loan, was under the obligation to find a “major new investor” to hedge against continued losses. Among those potential candidates were Suzuki, Renault, and the PSA Group, which owns Peugeot and Citroën, according to a report in Automotive News China.

Lotus Elise Cup 250

–

Proton last tried selling Lotus in 2007, to Volkswagen; it tried again in 2012, when then CEO Dany Bahar was ousted after three years of attempting to transform the company into a six-model lineup of larger, heavier luxury cars. Bahar’s hype included putting rapper Swizz Beatz and former General Motors chairman Bob Lutz on the payroll, but his dreams hit rock bottom when Lotus failed to federalize the Elise for U.S. sale past 2011.

–

When Jean-Marc Gales (pictured below) took over in 2014, the former PSA president announced Lotus would build an Evora-based crossover, increase production nearly tenfold by 2020, and become profitable by 2016. Proton plowed the equivalent of more than $ 150 million into Lotus in 2013 and maintained Lotus Engineering as a separate division to tune the automaker’s own cars and contract with other automakers, including Hyundai for the Genesis. At the same time, though, Lotus began cutting a quarter of its 1200 employees, and profit remained nowhere in sight.

–

Lotus CEO Jean-Marc Gales stands by the Evora

–

There’s no telling how Geely will utilize Lotus, but obvious guesses suggest that under its influence Volvo and Geely cars will shed pounds and handle like go-karts—or at least could see better chassis dynamics. There’s also no word on whether Toyota will continue supplying Lotus with engines and transmissions, whether Lotus Engineering will keep up the freelance work, or whether Gales will keep his post. With China’s penchant for foreign luxury brands, Lotus cars may indeed become bigger and heavier.

–

–

Since the early 1980s, when founder Colin Chapman died and the once independent company nearly folded, the company’s non-British owners (which have included General Motors, Toyota, and a holding company that owned Bugatti) have steered Lotus with varying degrees of success. Somehow,  through it all, Lotus has remained true to its legendary lightweight self. If Geely can revitalize Lotus the way it did Volvo, then the sports-car maker could finally be in for a smoother ride.
